Professional Network, Member Terms

Operated by Alubaidi Educational Services operating as MedLabTech Academy. CPD Provider #783385. Mississauga, Ontario, Canada.
(1) These Terms apply to members of the MedLabTech Academy Professional Network (the “Network”), operated by Alubaidi Educational Services operating as MedLabTech Academy.
(2) In these Terms, “Academy”, “we”, “us”, and “our” means Alubaidi Educational Services operating as MedLabTech Academy, a business registered in Ontario, Canada.
(3) In these Terms, “Member”, “you” and “your” means the individual or organisation applying to become a member of the Network and who accepts these Terms upon joining.
(4) By accepting these Terms you agree to be bound by them and enter into an agreement with us (the “Agreement”).
1. Definitions and Interpretation
1.1 In these Terms the following words have the following meanings:
Business Day means any day other than Saturday or Sunday that is not a public holiday in Ontario, Canada.
Commencement Date means the date on which you accept these Terms and are approved as a member.
Eligible Recommendation means a successful programme recommendation that meets the conditions set out in these Terms and qualifies for financial recognition.
Financial Recognition means the amount payable to you for an Eligible Recommendation, calculated in accordance with Clause 5.
Member Link means the unique referral link issued to you by the Academy for the purpose of recommending programmes.
Network means the MedLabTech Academy Professional Network.
Programmes means the courses, certifications, and educational programmes offered by the Academy that are designated as eligible within the Network.
Recognition Period means the period of sixty (60) days during which a recommendation remains attributable to you after a person uses your Member Link.
2. Membership
2.1 Membership of the Network is by application and is subject to approval by the Academy at its discretion. The Academy may approve, decline, or revoke membership where it considers this appropriate.
2.2 Membership carries no fee and no obligation to maintain any level of activity. You may request removal from the Network at any time.
2.3 You agree to provide accurate information when applying and to keep your contact and payment details current.
3. Member Conduct
3.1 You agree to represent the Academy and its Programmes honestly and accurately, and not to make misleading claims about the Academy, its Programmes, or any outcomes.
3.2 You agree not to use spam, misleading advertising, paid search bidding on the Academy’s brand terms, or any unlawful or deceptive method to promote the Academy or generate recommendations.
3.3 You agree to comply with all applicable laws, including those relating to marketing, privacy, and consumer protection.
4. Member Links and Recommendations
4.1 The Academy will issue you a unique Member Link. A recommendation is attributed to you when a person uses your Member Link and completes a qualifying enrolment within the Recognition Period.
4.2 Only enrolments tracked through your Member Link and completed within the Recognition Period are eligible. Recommendations that cannot be tracked, or that fall outside the Recognition Period, are not eligible for Financial Recognition.
4.3 The Academy operates the tracking system in good faith. Where tracking is prevented by a person’s browser settings, technical failure, or factors outside the Academy’s control, the Academy is not liable for recommendations that are not recorded.
5. Financial Recognition
5.1 For each Eligible Recommendation, the Academy will pay Financial Recognition equal to twenty percent (20%) of the net enrolment value of the eligible Programme, where net value is the amount received by the Academy after any discounts, taxes, refunds, and transaction fees.
5.2 Financial Recognition becomes payable only once the related enrolment is complete, the Academy has received payment in full, and any applicable refund or cancellation period has passed.
5.3 Where an enrolment is refunded, cancelled, or charged back, no Financial Recognition is payable, and any amount already paid in respect of that enrolment may be deducted from future payments or reclaimed.
5.4 The Academy may set a minimum payout threshold and a payment schedule, which will be made available to you. Payments are made by the method agreed between you and the Academy.
5.5 You are responsible for any taxes payable on Financial Recognition you receive, and for reporting that income to the relevant authorities.
5.6 The Academy may vary the rate or terms of Financial Recognition on reasonable notice. Any change applies only to recommendations made after the change takes effect.
6. Intellectual Property and Branding
6.1 The Academy grants you a limited, non-exclusive, revocable permission to use the Academy’s name and approved materials solely for the purpose of recommending Programmes in accordance with these Terms.
6.2 You may not alter the Academy’s materials, claim ownership of the Academy’s brand, or use the Academy’s name in any way that suggests partnership, employment, or endorsement beyond your role as a member, without the Academy’s written consent.
6.3 All goodwill arising from your use of the Academy’s brand belongs to the Academy.
7. Featuring and Consent
7.1 The Academy may wish to feature your contributions or profile within the community, in communications to learners, or externally on the Academy website and professional channels. Any feature is based on your consent, as described in the Network Guidelines.
7.2 You may decline any feature and may withdraw consent for future features at any time.
8. Relationship of the Parties
8.1 Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and the Academy. You act as an independent party.
8.2 You have no authority to enter into commitments on behalf of the Academy or to bind the Academy in any way.
9. Liability
9.1 To the fullest extent permitted by law, the Academy is not liable for indirect or consequential losses, or for loss of profit, arising from your membership of the Network.
9.2 Nothing in these Terms limits any liability that cannot be limited or excluded under applicable law.
10. Term and Termination
10.1 This Agreement begins on the Commencement Date and continues until ended by either party.
10.2 Either party may end this Agreement at any time. The Academy may suspend or end your membership immediately where you breach these Terms or act in a way that may harm the Academy or its reputation.
10.3 On termination, your permission to use the Academy’s name and materials ends, and your Member Link is deactivated. Financial Recognition already earned and payable for Eligible Recommendations made before termination remains payable, subject to Clause 5.
11. Changes to These Terms
11.1 The Academy may update these Terms from time to time. Material changes will be communicated to members. Continued membership following an update constitutes acceptance of the revised Terms.
12. Governing Law
12.1 These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there. The courts of Ontario have jurisdiction over any dispute arising from these Terms.
